Influencer Agreement

Draft for review. Last updated: October 2026

This Agreement governs your participation as a Carté Influencer, operated by Carte Vie Limited (RC 9436336) (“Carté”, “we”, “us”). By applying to and being accepted into the program, you agree to these terms.

1. Eligibility

2. How the partnership works

As an Influencer you receive a set of Carté skincare products, free of charge, to use and feature in your content. Carté may offer to replenish your products every two months, based on performance; replenishment is at Carté's discretion. The products are provided for you to use and feature in your content and are not for resale. You also receive a unique referral link, and you earn commission on completed sales made through it, tracked on your Influencer dashboard.

3. Commission

You earn a flat 10% commission on every completed sale made through your personal link. Commission is calculated on the product value of the sale, measured after any discount the customer received and excluding delivery charges and any taxes. A sale is completed when the customer has paid and the order has not been cancelled or returned. Orders you place yourself through your own link are treated like any other sale. Carté may change the rate for future months, with notice as set out in this Agreement; a month that has already been paid keeps the rate it was earned at.

4. Content and the 30-day review

We ask you to publish four original pieces of content every week, focusing on product demonstrations, skincare routines, personal experiences and educational content. Short-form videos are particularly encouraged. You have creative freedom to create authentic, engaging content in your own style. You must clearly disclose the partnership in your content (for example with #ad or #CarteInfluencer) and must not make medical claims or promises about results that Carté has not approved. The partnership begins with a 30-day performance review period in which Carté assesses content consistency, engagement and sales performance. After the review Carté may continue, adjust or end the partnership.

5. Payouts

We calculate your commission at the end of every calendar month. Each closed month is then checked, and becomes available to withdraw on the 3rd of the following month, which gives us time to correct any errors. The minimum withdrawal is ₦10,000: if your available balance is lower, it stays on your account and adds to the following month. You request your payout from your dashboard once the minimum is reached, and we pay it by bank transfer to the account in your profile after we have reviewed the request. What you are paid is your commission for the month, less any adjustments under Section 6. Your bank details must be in your own name and are verified by our team before you can request a payout; if you change them they are verified again. Carté is not responsible for a payment sent to details you gave incorrectly and cannot pay you until verified bank details are on your profile.

6. Order & return adjustments

If a customer returns or cancels an order that generated your commission, the corresponding commission is deducted (for a partial refund, commission is kept on the part the customer still paid for; a fully refunded order no longer counts toward your monthly units). If you have already been paid for that month, the amount is deducted from what you earn next. Confirmed fraud (such as coordinating with others to inflate sales for commission or reward purposes, or placing orders you intend to cancel) forfeits all pending and future commissions and rewards, not just the amount tied to the fraudulent order, and Carté may pursue recovery of any amount already paid out that resulted from fraud, in addition to removal from the program.

7. Term & termination

Either you or Carté may end your participation at any time. Carté may suspend or remove an Influencer immediately for fraud, misrepresentation of products, breach of the Code of Conduct, or bringing the Carté brand into disrepute. Commission already earned on valid, non-returned, non-fraudulent orders as of the termination date will still be paid out in the normal month-end payout.

8. Independent status

Influencers are independent content creators taking part in a referral programme. You are not an employee, agent or business partner of Carté, and the word “partnership” in this programme describes the working relationship only and does not create a legal partnership. You have no authority to make representations, promises, discounts or contracts on Carté’s behalf beyond promoting products at the prices shown on the official site. You are responsible for any personal tax obligations arising from your earnings.

9. Trademark & content license

Carté grants you a limited, non-exclusive, revocable license to use Carté-approved logos, product images, and marketing copy solely to promote the program while you are an active Influencer. This license ends immediately when your participation ends, at which point you must stop using Carté branding and remove it from your social profiles and posts going forward.

10. Indemnification

You agree to indemnify and hold Carté harmless from any claim, loss, or expense (including reasonable legal fees) arising from your own misrepresentation of Carté products, breach of this Agreement or the Code of Conduct, or unlawful conduct while promoting or selling Carté products.

11. Limitation of liability

Carté's total liability to you under this Agreement is limited to unpaid, valid commission and rewards owed to you. Carté is not liable for indirect, incidental, or consequential loss, including lost opportunity or reputational harm. Carté is not liable for payout delays caused by events beyond its reasonable control, including banking system outages, payment-processor failure, or regulatory action.

12. Dispute resolution

If a dispute arises under this Agreement, you agree to first raise it with Carté at support@carteskin.com so it can be resolved informally. If not resolved within 60 days, either party may refer the dispute to arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, before resorting to litigation.

13. Changes to the program

Carté may adjust the commission tiers and rates, reward thresholds, or program rules going forward, with reasonable notice via the Influencer dashboard or email. Changes apply prospectively, not to sales already made.

14. Severability & entire agreement

If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force. This Agreement, together with the Influencer Privacy Policy and Code of Conduct, is the entire agreement between you and Carté regarding your participation in the program.

15. Governing law

This Agreement is governed by the laws of the Federal Republic of Nigeria.
